LAW 7276 - Securities Litigation and Enforcement

A comprehensive study of public and private actions under the Securities Act of 1933, the Securities Exchange Act of 1934, and the Investment Advisors Act of 1940. Special attention is paid to the implication of causes of action; the elements of each cause; vicarious liability; the liability of attorneys, accountants, and directors; and the peculiarities of civil procedure as applied to securities litigation and damages. Also examines nondamage actions, including SEC enforcement proceedings, criminal actions, contempt proceedings, and state actions. Papers required. Prerequisite: LAW 6420 .
