LAW 7307 - Advanced Contracts Credits: 3
Discusses in more depth and detail some contract law topics that are covered in a more introductory fashion in the Contracts I and II classes. Explores contract law topics that are usually not covered in those introductory classes. Special emphasis is placed on letter of intent law, some of the subtleties of modern contract formation law, Sections 2-205 and 2-207 of the Uniform Commercial Code, the fraud and misrepresentation enforceability defenses, some contract interpretation issues, some of the many complications posed by the doctrine of conditions, the several excuse defenses, and mathematical calculations of damages in various common law and Uniform Commercial Code contexts. Covers third-party beneficiary law, assignment and delegation law, and includes an introductory coverage of international contract law, time permitting. Requires a final examination, and perhaps also one or two short memo exercises. All students may enroll in this course, including those students who have taken or are currently taking Law 6213 Advanced Mergers and Acquisitions or LAW 8222 Advanced Contracts: Drafting .
